OFFICIAL RULES FOR THE ARCHY TESLA GIVEAWAY

1. SPONSOR

This sweepstakes (the "Giveaway") is sponsored by Archy Dental, Inc. ("Archy"), located at 3031 Tisch Way, 110 Plaza West, San Jose, CA 95128.

2. ELIGIBILITY

This Giveaway is open to legal residents of the United States who meet all of the following criteria:

• Must be a licensed dental practice owner in the United States.
• Must be at least 18 years of age at the time of entry.
• Must sign up for and go live with Archy software under a minimum 1-year contract for Archy Gold or Platinum.
• Must use Archy Payment Processing for all payment transactions.
• This promotion cannot be combined with any other discount.
• Existing Archy customers may enter by renewing their contract for 1 year and paying upfront.
• Employees, officers, and directors of Archy and their immediate family members are not eligible.
• Payment must be completed via ACH.

3. GIVEAWAY PERIOD

The Giveaway begins on January 1, 2025, at 12:00 AM PT and will end once 250 eligible entries have been received, or by December 31, 2025, at 11:59 PM PT, whichever comes first.

• If 250 entries are reached before the deadline, the Giveaway will close early, and the winner will be announced within 30 days of reaching 250 entries.
• If fewer than 250 entries are received by December 31, 2025, Archy reserves the right to:
  
  • Extend the Giveaway period for up to an additional 180 days;
  • Proceed with a drawing from the total number of eligible entries received;
  • Offer an alternative prize of equal or lesser value;
  • Cancel the Giveaway at its discretion.
• The winner will be selected and announced via Facebook and Instagram Live.

• The winner will be contacted by email and must respond within 5 business days to claim their prize.
• If the winner fails to claim their prize within the specified timeframe, an alternate winner may be selected.

4. HOW TO ENTER

(a) Paid Entry Method: Eligible participants will be automatically entered into the Giveaway upon:

• Signing a 1-year contract (or renewing an existing contract) for Archy Gold or Platinum.
• Paying for the full year upfront.
• Using Archy Payment Processing.
• Platinum package customers will receive 2 entries, while Gold package customers receive 1 entry.
• Limited to the first 250 eligible participants. Once 250 entries are received, the Giveaway will close.

(b) Alternative Free Entry Method (AMOE): To comply with sweepstakes laws, a free alternative entry method is available. To enter without purchasing Archy, participants must:

• Submit a handwritten 15,000-word essay on "How Cloud-Based, AI-Driven Dental Software Like Archy is Transforming Dental Practices and Improving Patient Care"
• Use of AI, including ChatGPT or any AI-generated content, is strictly prohibited. Essays must be original and solely written by the entrant.
• Essays must be handwritten, legible, and mailed via certified mail with return receipt requested to Archy Dental, Inc, 3031 Tisch Way, 110 Plaza West, San Jose, CA 95128.
• The submission must include a notarized letter confirming the entrant is a licensed dental practice owner, containing:
  
  • Full name, practice name, address, and dental license number.
  • A statement of eligibility affirming compliance with all official rules.
• Mail-in entrants may submit one entry for 1 chance or two separate mail-in entries for 2 chances (matching Platinum customers' odds).
• Mail-in entries must be postmarked by December 31, 2025, and received by January 5, 2026.
• PO Boxes are not allowed. Only physical business addresses will be accepted.
• Incomplete, illegible, AI-generated, or non-notarized entries will be automatically disqualified.

5. PRIZE

• One (1) Grand Prize: A Tesla Model Y OR a cash equivalent prize (approx. $52,000 USD).
• Insurance, registration, and taxes are the responsibility of the winner.
• Winner cannot sell or transfer the Tesla while under the Archy contract.
• The prize is non-transferable and cannot be exchanged for another vehicle.

6. CONTRACTUAL OBLIGATIONS & FORFEITURE

• If the winner cancels their Archy contract before completing 1 year, they must repay the full Tesla value ($52,000) in a lump sum.
• If the winner’s business closes, they are still responsible for repayment.
• The winner must actively use Archy software and payment processing throughout the contract period.

7. MARKETING & PUBLICITY REQUIREMENTS

• The winner must post on social media (Facebook, Instagram, LinkedIn, or TikTok) about Archy at least once per quarter during the contract period.
• The winner must participate in a case study on how Archy benefits their practice.
• The winner must allow Archy to use their name, practice, and likeness in marketing materials.
• Archy may record and publicize the Tesla delivery event.

8. TAX OBLIGATIONS

• The winner is responsible for all federal, state, and local taxes associated with the prize.
• Archy will issue a 1099-MISC tax form reflecting the prize’s fair market value.
• Archy will not cover any taxes related to the prize.

9. DISQUALIFICATION & FRAUD PREVENTION

• If the winner fails to fulfill their Archy contract obligations, they must repay the full Tesla value.
• If Archy determines that a participant has attempted to manipulate the Giveaway, their entry will be disqualified.
• Multiple entries per dental practice are not allowed.

10. LIMITATION OF LIABILITY

By entering, participants agree that Archy and its affiliates are not responsible for:

• Technical issues, lost mail-in entries, or data loss.
• Injuries, losses, or damages from participating or using the prize.
• Any third-party claims related to the Tesla or its use.

11. GENERAL CONDITIONS

• This Giveaway is not sponsored, endorsed, administered by, or associated with Tesla, Inc. Tesla is not affiliated with this promotion in any way.
• Archy reserves the right to modify, suspend, or terminate the Giveaway if necessary.
• Archy reserves the right to substitute the prize with a comparable item.
• The Giveaway is subject to all applicable federal and state laws.
• By participating, entrants agree to these Official Rules.
